The Supervisory Board on the basis of NLB's Act sets the date of the General meeting. It is usually held towards the end of June.

What is the difference between subsidiary and associate company?
A subsidiary is a company, where its parent company has the major shareholding (more then 50 % of ownership). This status can also be established by a special control agreement. An associate company is a company, which is only partly owned by the parent company (less then 50 % of ownership).

What is the Bank's nominal capital?
On June 30th, 2012 the Bank's capital amounted to EUR 92,314,000, which represents 11,061,125  non-par value shares.

Can I, as a shareholder, participate and vote at the Annual General Meeting?
Participation and voting at the Annual General Meeting is possible if a shareholder, their legal representative or proxy sends signed notification of his participation at least three days prior to the meeting.  A Stockholder's proxy is obligated to send a signed authorization when denouncing his participation, if it is not yet odged with the bank.

How do you notify stockholders about decisions made at the Annual General Meeting?
Accepted decisions are publicised immediately after the Annual General Meeting by press releases and using SEOnet, the stock market information system.

When is the dividend payout?
In case of decision for distribution of profit as dividends, the dividend payout is usually in September.

What is the taxation on dividend payouts?
For the shareholders - natural persons, the Bank must pay personal income tax accounting for 20% upon the payment of dividends.

For the shareholders - legal entities, the Bank must pay withholding tax accounting for 25%. The withholding tax is not paid if the dividends are paid to:
1. Slovenia or a local self-government community in Slovenia
2. the Bank of Slovenia
3. the taxable person - resident who submitted the tax number to the paying entity
4. the taxable person - non-resident who must pay the income tax on the income earned by performing activities in a business unit or through a business unit in Slovenia and submitted the tax number to the paying entity, if the dividend is paid to such business unit.

If the dividend is paid to the parent company in an EU Member State which holds at least 20% of the value of shares (this applies for 2006, afterwards, the percentage shall be gradually reduced) and meets all the other legally prescribed conditions stipulated by the EU Directive on the taxation of parent companies and their subsidiaries in different EU Member States, the dividend shall be paid out in total, without any withholding tax.
